Plain-language terms that govern your use of Hosta. Please read them — they're short, and they matter.
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and AE101 LLC, a California limited liability company doing business as Hosta ("Hosta," "we," "our," or "us"). They govern your access to and use of the Hosta website at texthosta.com and our text-based concierge services delivered via SMS, MMS, and WhatsApp (collectively, the "Service").
By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
2. Who can use Hosta
You must be at least 18 years old to use the Service. By using Hosta, you represent that you are 18 or older and have the legal capacity to enter into this agreement.
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. What Hosta does (and doesn't) do
Hosta is a concierge and matchmaking service. We help connect customers planning events with independent third-party vendors — such as caterers, home cooks, and event-rental providers ("Vendors").
What we do
- Help you find Vendors who match your event needs based on the information you share with us.
- Facilitate communication between you and Vendors via text and other channels.
- Provide quotes, availability information, and follow-up support during the planning process.
What we don't do
- We do not employ Vendors, supervise their work, or guarantee the quality of their food, service, or performance.
- We do not guarantee Vendor availability, pricing, or that any specific Vendor will accept your booking.
- We are not a party to any contract you enter into with a Vendor. Your booking, payment, and any disputes with the Vendor are between you and them.
📱 Messaging consent
By providing your phone number to Hosta — through our website, by replying to a message, or by initiating a conversation — you consent to receive SMS, MMS, and/or WhatsApp messages from us related to event planning, vendor matching, quotes, confirmations, and follow-ups.
Message frequency varies based on your conversation. Message and data rates may apply, depending on your wireless plan.
You may reply STOP to opt out at any time, or HELP for assistance. Full details are in our Privacy Policy.
4. Your account and information
When you use the Service, you agree to provide accurate and current information about yourself, your event, and your contact details. Misleading or false information may result in suspension of the Service.
You are responsible for keeping your phone number and contact details up to date and for the security of your communications.
5. Acceptable use
When using Hosta, you agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Submit false event information, fake bookings, or impersonate another person.
- Send abusive, harassing, threatening, or hateful messages to Hosta staff or to Vendors connected through our service.
- Attempt to interfere with the operation of the Service, reverse engineer it, or scrape data from it.
- Use the Service to send unsolicited marketing or spam to anyone.
- Solicit Vendors to circumvent Hosta or to enter agreements outside of the Service in a way that violates these Terms.
We reserve the right to suspend or terminate Service for any user who violates these rules.
6. Vendors
Vendors who join Hosta agree to provide accurate information about their business, services, and pricing. Vendors are independent contractors — not employees, agents, or partners of Hosta.
Vendors agree not to use customer information shared by Hosta for purposes outside the specific event request, and not to spam or harass customers introduced through our service.
7. Bookings, payments, and refunds
Any booking you make with a Vendor is a direct contract between you and the Vendor. Pricing, deposit terms, cancellation policies, and refunds are determined by the Vendor and communicated through our Service.
Where Hosta facilitates payment collection on behalf of a Vendor, payments are processed by third-party providers (such as Stripe). Hosta does not store payment card information on our servers.
Disputes regarding the quality of food, service, or delivery should first be raised with the Vendor. We're happy to help mediate where reasonable, but Hosta is not financially liable for Vendor performance.
8. Intellectual property
The Hosta name, logo, website, and all content we create (excluding content you or Vendors submit) are owned by AE101 LLC and protected by copyright, trademark, and other laws.
You retain ownership of any information or content you send to us. By sending it, you grant Hosta a non-exclusive, worldwide, royalty-free license to use that information solely to operate and improve the Service — including sharing relevant details with Vendors at your request.
9. AI-assisted communication
Hosta uses artificial intelligence to help draft replies and recommendations. A human reviews and approves every message sent on behalf of Hosta before it reaches you. By using the Service, you acknowledge and accept that AI may be used in the drafting of communications you receive.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Hosta does not guarantee that the Service will always be available, error-free, or that messages will be delivered without delay. We don't guarantee that any specific Vendor match will result in a booking, or that any Vendor's services will meet your expectations.
11. Limitation of liability
To the maximum extent permitted by law, Hosta and AE101 LLC shall not be liable for any indirect, incidental, consequential, special, or exemplary damages — including lost profits, lost data, or damages arising from Vendor performance — arising out of or related to your use of the Service.
Hosta's total liability for any claim arising out of these Terms or your use of the Service shall not exceed one hundred US dollars ($100.00) or the total amount you have paid Hosta in the twelve (12) months preceding the claim, whichever is greater.
Some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Hosta, AE101 LLC, and our officers, employees, and contractors from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any Vendor or other user.
13. Termination
You may stop using the Service at any time by replying STOP to our messages or by emailing us. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and dispute resolution) will continue to apply after termination.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
Before filing any formal claim, you agree to first contact us in good faith to attempt informal resolution.
15. Changes to these Terms
We may update these Terms from time to time as our Service evolves or as required by law. When we make material changes, we'll update the "Last updated" date at the top of this page. For significant changes, we'll also notify users by text where reasonable. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and Hosta regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a sale, merger, or reorganization.
